Please read these Terms and Conditions carefully. By downloading the SikaDua application, registering an account, or using any SikaDua service, you agree to be bound by these Terms. If you do not agree, you may not use the platform.

1Definitions and Interpretation

In these Terms and Conditions, unless the context requires otherwise:

  • "SikaDua" means the SikaDua platform, application, and associated services operated in Ghana.
  • "Platform" means the SikaDua mobile application, website, and any related digital services.
  • "User" means any individual or entity registered on or using the Platform.
  • "Reseller" means a User who browses the product catalogue, sets a selling price, shares product links, and earns commission on completed sales.
  • "Supplier" means a business, manufacturer, trader, or individual who lists products on the Platform for distribution through Resellers.
  • "Partner" or "Investor" means an individual or entity who contributes capital to fund stock procurement managed by SikaDua under a written Partner Agreement.
  • "Buyer" means any individual who purchases a product through a Reseller's shared link.
  • "MoMo" or "Mobile Money" means MTN Mobile Money, Telecel Cash, or any other mobile payment service supported by the Platform.
  • "Commission" means the Reseller's margin earned on a completed sale after the Platform fee is deducted.
  • "Partner Agreement" means the separate written agreement executed between SikaDua and a Partner specifying investment terms, product categories, and profit-sharing arrangements.

2Acceptance of Terms

2.1 By accessing or using the Platform in any way, including downloading the application, creating an account, listing a product, sharing a product link, making a payment, or entering into any agreement with SikaDua, you confirm that:

  • You have read, understood, and agree to be bound by these Terms;
  • You are at least 18 years of age or have the legal capacity to enter into a binding agreement under Ghanaian law;
  • All information you provide is accurate, complete, and up to date;
  • You are not prohibited from using the Platform by any applicable law.

2.2 SikaDua reserves the right to update these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

3Platform Overview and Services

3.1 SikaDua operates an AI-powered mobile reseller marketplace that facilitates:

  • Product discovery and sharing by Resellers;
  • Product listing and distribution by Suppliers;
  • Capital investment and managed stock fulfilment for Partners;
  • Payment processing via Mobile Money for Buyers.

3.2 SikaDua acts as a marketplace facilitator and is not directly responsible for the quality, safety, or fitness of any product listed on the Platform. Responsibility for product quality lies with the Supplier.

3.3 SikaDua reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without liability.

4User Registration and Account

4.1 Users must register an account to access Platform features. You agree to:

  • Provide accurate personal information including your full name, valid phone number, and Ghana-registered Mobile Money wallet details;
  • Keep your login credentials confidential and not share them with any third party;
  • Notify SikaDua immediately of any unauthorised access to your account;
  • Be responsible for all activity conducted through your account.

4.2 SikaDua may require identity verification (KYC — Know Your Customer) for certain account types or transaction thresholds in compliance with Ghanaian financial regulations. Failure to complete verification may result in account suspension or withdrawal limits.

4.3 Each individual or entity may hold only one account per user category (Reseller, Supplier). Partner arrangements are governed separately by Partner Agreements.

5Reseller Terms

5.1 Eligibility

Any person with a valid Ghanaian Mobile Money wallet and a smartphone capable of running the SikaDua application may register as a Reseller at no cost.

5.2 Reseller Obligations

  • Resellers must represent products accurately and not make false claims about product quality, specifications, or availability;
  • Resellers must set realistic delivery expectations with Buyers based on SikaDua's published fulfilment timelines;
  • Resellers may not use SikaDua's branding or trademarks in a way that misrepresents an official affiliation beyond the Platform.

5.3 Commission Structure

Resellers earn a margin equal to the difference between the Supplier's wholesale price and the Reseller's chosen selling price. SikaDua deducts a platform fee of 30% of the Reseller's margin. The Reseller retains 70% of their margin on every completed and confirmed sale.

Example: Supplier price: GHS 100. Reseller sets price at GHS 140. Reseller margin = GHS 40. SikaDua fee = GHS 12 (30%). Reseller earns = GHS 28 (70%).

5.4 Commission Conditions

  • Commission is earned only upon confirmed delivery and expiry of the applicable refund window;
  • Commission is reversed in the event of a valid Buyer refund or fraudulent order;
  • SikaDua reserves the right to withhold commission pending investigation of suspected fraud or policy violations.

6Supplier Terms

6.1 Product Listing

Suppliers must ensure all products listed on the Platform:

  • Are accurately described with correct specifications, photos, and pricing;
  • Comply with all applicable Ghanaian laws, including consumer protection and standards regulations;
  • Are not counterfeit, prohibited, dangerous, or subject to import restrictions;
  • Are available in the quantities listed.

6.2 Approval Process

All products are subject to review and approval by SikaDua before going live on the Platform. SikaDua may reject any product at its discretion without obligation to provide reasons. Approval does not constitute an endorsement of product quality.

6.3 Supplier Obligations

  • Suppliers must fulfil orders within the agreed dispatch timeframes;
  • Suppliers are responsible for accurate packaging and correct item dispatch;
  • Suppliers must maintain adequate stock levels and update availability in real-time;
  • Suppliers are liable for defective, incorrect, or counterfeit products and associated costs including returns and refunds.

6.4 Supplier Payments

SikaDua will settle Supplier payments for confirmed, delivered orders according to the settlement cycle agreed at onboarding. Settlements are made to the Supplier's registered Mobile Money or bank account.

7Partner and Investor Terms

7.1 Partner arrangements are governed by a separate, written Partner Agreement executed between the Partner and SikaDua. These Terms apply in addition to, and do not supersede, any Partner Agreement.

7.2 Capital and Risk

  • Partner capital is used exclusively for the procurement and storage of agreed product inventory;
  • Partners acknowledge that all investments carry inherent risk. While SikaDua takes all reasonable steps to sell stock, no specific timeline or minimum return can be guaranteed;
  • Partners' capital is secured against physical inventory. In the event of a material business failure, SikaDua will take all reasonable steps to recover and return the value of unsold stock to Partners proportionally.

7.3 Profit Sharing

Unless otherwise agreed in the Partner Agreement, SikaDua retains 40% of profit on each sale, and the Partner receives 60% of profit. "Profit" means net revenue after deduction of all direct product costs, delivery costs, and platform fees as agreed in writing.

7.4 Reporting

SikaDua will provide Partners with regular reporting on stock levels, sales, revenue, and profit distributions. Partners may request a full account reconciliation at any time.

8Mobile Money Payments

8.1 All payments on the Platform are processed via MTN Mobile Money, Telecel Cash, or other supported Mobile Money services. By using the Platform's payment features, you agree to the terms and conditions of your Mobile Money provider.

8.2 SikaDua does not store or directly control Mobile Money wallet credentials. Payment processing is handled through licensed payment service providers.

8.3 Users are responsible for ensuring their Mobile Money wallet is active, registered in their correct name, and has sufficient funds for transactions.

8.4 SikaDua is not liable for delays, failures, or errors arising from the Mobile Money network, service interruptions, or user error in entering payment details.

9Commissions, Fees, and Payouts

9.1 The following fee structure applies unless stated otherwise:

  • Resellers: SikaDua deducts 30% of the Reseller's margin. Reseller keeps 70%.
  • Partners: SikaDua keeps 40% of profit. Partner receives 60%.

9.2 SikaDua reserves the right to modify its fee structure with 14 days' notice to affected Users.

9.3 Minimum payout thresholds may apply. Users will be notified of applicable thresholds within the Platform.

9.4 SikaDua is not responsible for Mobile Money transaction charges levied by the user's network provider.

10Prohibited Conduct

Users must not:

  • Use the Platform for any unlawful purpose or in violation of Ghanaian law;
  • List, sell, or promote counterfeit, stolen, prohibited, or illegal goods;
  • Engage in fraudulent transactions, false orders, or manipulation of the commission system;
  • Harass, threaten, or mislead Buyers, other Resellers, or Suppliers;
  • Attempt to circumvent the Platform by conducting off-platform transactions with contacts made through SikaDua;
  • Reverse engineer, copy, or create derivative works from the Platform;
  • Upload harmful code, malware, or conduct any form of cyberattack on the Platform;
  • Create multiple accounts to manipulate commission or referral systems.

Violation of this section may result in immediate account termination and legal action.

11Intellectual Property

11.1 All content on the Platform including the SikaDua name, logo, app design, software, text, graphics, and data are the exclusive intellectual property of SikaDua or its licensors.

11.2 Users are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for its intended purpose.

11.3 By uploading product images or content to the Platform, Suppliers grant SikaDua a royalty-free licence to use, display, and distribute that content on the Platform and in promotional materials.

12Disclaimers and Limitation of Liability

12.1 The Platform is provided on an "as is" and "as available" basis. SikaDua makes no warranties, express or implied, regarding uninterrupted access, error-free operation, or fitness for a particular purpose.

12.2 SikaDua shall not be liable for:

  • Loss of earnings, business opportunity, or data arising from Platform downtime;
  • Damage arising from fraudulent conduct by third-party Users;
  • Loss or delay in Mobile Money transactions;
  • Product quality disputes between Suppliers and Buyers;
  • Force majeure events including floods, power outages, telecommunications failures, or acts of government.

12.3 To the maximum extent permitted by law, SikaDua's total liability to any User shall not exceed the total commissions or fees paid by that User to SikaDua in the three months preceding the claim.

13Dispute Resolution

13.1 Internal Resolution: Users must first raise disputes with SikaDua's customer support team. SikaDua will endeavour to resolve disputes within 14 business days.

13.2 Mediation: If internal resolution fails, parties agree to attempt mediation through a mutually agreed mediator before pursuing legal action.

13.3 Arbitration: Unresolved disputes shall be submitted to binding arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana.

13.4 Class Action Waiver: Users waive any right to participate in a class action or representative proceeding against SikaDua.

14Termination

14.1 Users may terminate their account at any time by contacting SikaDua support. Pending commissions at the time of termination will be paid out after any applicable hold period.

14.2 SikaDua may suspend or terminate any account immediately for breach of these Terms, fraudulent activity, or any conduct deemed harmful to the Platform or its users.

14.3 Upon termination, the User's licence to use the Platform ceases immediately. Sections 11 (IP), 12 (Liability), and 13 (Dispute Resolution) survive termination.

15Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. The High Court of Ghana (Accra) shall have non-exclusive jurisdiction over any dispute not resolved through the dispute resolution process set out in Section 13.
