Please read these Terms and Conditions carefully. By downloading the SikaDua application, registering an account, or using any SikaDua service, you agree to be bound by these Terms. If you do not agree, you may not use the platform.
In these Terms and Conditions, unless the context requires otherwise:
2.1 By accessing or using the Platform in any way, including downloading the application, creating an account, listing a product, sharing a product link, making a payment, or entering into any agreement with SikaDua, you confirm that:
2.2 SikaDua reserves the right to update these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
3.1 SikaDua operates an AI-powered mobile reseller marketplace that facilitates:
3.2 SikaDua acts as a marketplace facilitator and is not directly responsible for the quality, safety, or fitness of any product listed on the Platform. Responsibility for product quality lies with the Supplier.
3.3 SikaDua reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without liability.
4.1 Users must register an account to access Platform features. You agree to:
4.2 SikaDua may require identity verification (KYC — Know Your Customer) for certain account types or transaction thresholds in compliance with Ghanaian financial regulations. Failure to complete verification may result in account suspension or withdrawal limits.
4.3 Each individual or entity may hold only one account per user category (Reseller, Supplier). Partner arrangements are governed separately by Partner Agreements.
Any person with a valid Ghanaian Mobile Money wallet and a smartphone capable of running the SikaDua application may register as a Reseller at no cost.
Resellers earn a margin equal to the difference between the Supplier's wholesale price and the Reseller's chosen selling price. SikaDua deducts a platform fee of 30% of the Reseller's margin. The Reseller retains 70% of their margin on every completed and confirmed sale.
Example: Supplier price: GHS 100. Reseller sets price at GHS 140. Reseller margin = GHS 40. SikaDua fee = GHS 12 (30%). Reseller earns = GHS 28 (70%).
Suppliers must ensure all products listed on the Platform:
All products are subject to review and approval by SikaDua before going live on the Platform. SikaDua may reject any product at its discretion without obligation to provide reasons. Approval does not constitute an endorsement of product quality.
SikaDua will settle Supplier payments for confirmed, delivered orders according to the settlement cycle agreed at onboarding. Settlements are made to the Supplier's registered Mobile Money or bank account.
7.1 Partner arrangements are governed by a separate, written Partner Agreement executed between the Partner and SikaDua. These Terms apply in addition to, and do not supersede, any Partner Agreement.
Unless otherwise agreed in the Partner Agreement, SikaDua retains 40% of profit on each sale, and the Partner receives 60% of profit. "Profit" means net revenue after deduction of all direct product costs, delivery costs, and platform fees as agreed in writing.
SikaDua will provide Partners with regular reporting on stock levels, sales, revenue, and profit distributions. Partners may request a full account reconciliation at any time.
8.1 All payments on the Platform are processed via MTN Mobile Money, Telecel Cash, or other supported Mobile Money services. By using the Platform's payment features, you agree to the terms and conditions of your Mobile Money provider.
8.2 SikaDua does not store or directly control Mobile Money wallet credentials. Payment processing is handled through licensed payment service providers.
8.3 Users are responsible for ensuring their Mobile Money wallet is active, registered in their correct name, and has sufficient funds for transactions.
8.4 SikaDua is not liable for delays, failures, or errors arising from the Mobile Money network, service interruptions, or user error in entering payment details.
9.1 The following fee structure applies unless stated otherwise:
9.2 SikaDua reserves the right to modify its fee structure with 14 days' notice to affected Users.
9.3 Minimum payout thresholds may apply. Users will be notified of applicable thresholds within the Platform.
9.4 SikaDua is not responsible for Mobile Money transaction charges levied by the user's network provider.

Violation of this section may result in immediate account termination and legal action.
11.1 All content on the Platform including the SikaDua name, logo, app design, software, text, graphics, and data are the exclusive intellectual property of SikaDua or its licensors.
11.2 Users are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for its intended purpose.
11.3 By uploading product images or content to the Platform, Suppliers grant SikaDua a royalty-free licence to use, display, and distribute that content on the Platform and in promotional materials.
12.1 The Platform is provided on an "as is" and "as available" basis. SikaDua makes no warranties, express or implied, regarding uninterrupted access, error-free operation, or fitness for a particular purpose.
12.2 SikaDua shall not be liable for:
12.3 To the maximum extent permitted by law, SikaDua's total liability to any User shall not exceed the total commissions or fees paid by that User to SikaDua in the three months preceding the claim.
13.1 Internal Resolution: Users must first raise disputes with SikaDua's customer support team. SikaDua will endeavour to resolve disputes within 14 business days.
13.2 Mediation: If internal resolution fails, parties agree to attempt mediation through a mutually agreed mediator before pursuing legal action.
13.3 Arbitration: Unresolved disputes shall be submitted to binding arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana.
13.4 Class Action Waiver: Users waive any right to participate in a class action or representative proceeding against SikaDua.
14.1 Users may terminate their account at any time by contacting SikaDua support. Pending commissions at the time of termination will be paid out after any applicable hold period.
14.2 SikaDua may suspend or terminate any account immediately for breach of these Terms, fraudulent activity, or any conduct deemed harmful to the Platform or its users.
14.3 Upon termination, the User's licence to use the Platform ceases immediately. Sections 11 (IP), 12 (Liability), and 13 (Dispute Resolution) survive termination.
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. The High Court of Ghana (Accra) shall have non-exclusive jurisdiction over any dispute not resolved through the dispute resolution process set out in Section 13.
